HyperHelp Terms of Service - Usage & Legal Agreement

1. Introduction

These Terms of Service (the "Terms") are a binding legal agreement between you ("Customer", "you", or "your") and HyperHelp ("HyperHelp", "we", "us", or "our").

These Terms govern your access to and use of HyperHelp, including our website, hosted application, dashboard, documentation, crawling tools, retrieval and AI chat features, embeddable widget, lead-capture features, developer tools, and related services (collectively, the "Services").

By registering for an account, subscribing to a plan, embedding the widget, or otherwise using the Services, you agree to be bound by these Terms. If you use HyperHelp on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service and Access Rights

2.1 Service Description

HyperHelp is an AI website chat platform. The Services let customers crawl selected website content, add curated Q&A entries, create searchable knowledge bases, generate AI-powered answers from customer-controlled sources, embed a chat widget on websites, review conversations, and capture visitor lead details when enabled.

HyperHelp is intended for business and professional use. It is not intended for children or for use in high-risk environments where incorrect, delayed, or unavailable outputs could cause death, personal injury, financial loss, legal harm, or other serious damage.

2.2 License and Access

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.

Your access is limited by your plan, including limits for chatbots, team members, crawl configurations, Q&A entries, crawl credits, widget conversations, internal conversations, retention windows, and any other usage limits shown in the product or documentation.

Accounts are for named users. You may not share login credentials, allow multiple people to use one account, or bypass team-member limits. Organization owners are responsible for managing team access and removing users who no longer need access.

2.3 Widget and Developer Tools

You may embed the HyperHelp widget on websites you own, operate, or are authorized to manage. You are responsible for configuring allowed domains, keeping widget keys secure, and updating embed code if a widget key is regenerated.

You may use developer options, callbacks, style overrides, and any APIs or scripts we make available only to integrate HyperHelp with your own websites and internal workflows. You may not use them to build a competing product, scrape HyperHelp, bypass plan limits, or expose private service internals.

3. Account and Security

You are responsible for safeguarding your account credentials, recovery codes, widget keys, and any other access tokens or secrets. You are responsible for activity that occurs under your account, organization, widget key, scripts, integrations, or team members, except to the extent caused by HyperHelp's breach of these Terms.

You agree to provide accurate account, billing, and organization information and keep it current. You must notify us promptly if you suspect unauthorized access, credential compromise, or misuse of the Services.

4. Customer Content and Data Rights

4.1 Your Content

You retain ownership of the content and data you submit to or collect through HyperHelp, including crawled website content, crawl rules, Q&A entries, chatbot settings, prompt instructions, widget configuration, conversations, lead-capture submissions, exports, and related workspace data ("Customer Content").

You grant HyperHelp a limited license to host, store, copy, process, transmit, display, index, transform, create embeddings from, and otherwise use Customer Content solely as needed to provide, secure, maintain, support, and improve the Services for you and your organization.

We do not sell your Customer Content, conversations, or leads. We do not use one customer's private workspace data to build or enrich another customer's chatbot.

4.2 Your Responsibilities

You are responsible for ensuring that you have all rights, permissions, notices, and legal bases needed to submit, crawl, process, or collect Customer Content through HyperHelp.

You must not use HyperHelp to crawl or process content that you are not authorized to use, content that violates third-party rights, or content that is unlawful, harmful, or restricted by contract. You are responsible for the legality of your lead-capture configuration, visitor notices, consent flows, and use of exported lead or conversation data.

4.3 Website Crawling

HyperHelp crawls websites according to the URLs and crawl rules you configure, subject to technical limits, plan limits, availability, and abuse prevention controls.

You acknowledge that crawling may fail, be incomplete, or change over time because of robots.txt rules, authentication walls, blocking mechanisms, rate limits, site outages, JavaScript rendering limitations, content changes, redirects, duplicate content, parsing errors, or other factors outside HyperHelp's control.

4.4 AI Processing

HyperHelp may process Customer Content with AI providers to generate answers, create embeddings, retrieve relevant source material, and provide related AI features.

We may use aggregated or de-identified operational patterns to improve the Services. We will not intentionally use your private conversations, leads, or Customer Content to train public models in a way that identifies your organization or exposes your data to other customers.

4.5 Security Commitment

HyperHelp maintains commercially reasonable technical and organizational measures designed to protect Customer Content and account data. These measures may include access controls, tenant scoping, hashed passwords, encryption in transit, provider access controls, rate limits, logging, deletion guardrails, and operational monitoring.

No system is perfectly secure. If we confirm a security incident that legally requires notice, we will notify affected customers in accordance with applicable law.

5. Billing, Payment, and Refunds

5.1 Subscription Fees

Paid Services are billed on a recurring monthly or annual basis according to the plan, billing cycle, and price selected at checkout. HyperHelp uses Freemius for checkout, subscription management, payment processing, invoices, and related billing events.

5.2 Automatic Renewal

Subscriptions automatically renew unless cancelled before the end of the current billing period. If you cancel during a billing period, paid access continues until the end of that period unless billing is blocked, reversed, disputed, or otherwise invalidated.

5.3 Plan Changes and Limits

You may upgrade or downgrade from the subscription settings page where supported. Plan changes may take effect immediately. Your available features, usage limits, retention period, and access rights are based on your current effective plan.

Monthly allowances, including crawl credits, widget conversations, and internal conversations, reset at the start of each billing cycle. Unused monthly allowances do not roll over unless expressly stated in your plan.

When a usage limit is reached, the related action may be blocked until the next billing cycle, until you upgrade, or until more usage is otherwise made available.

5.4 Refunds

Refunds are handled according to applicable law and the specific offer, checkout page, order form, promotion, or written agreement that applied when you purchased the Services.

Unless a specific offering includes a written money-back guarantee or refund commitment, HyperHelp does not guarantee refunds, credits, or prorated billing. We may still offer refunds or credits at our discretion as a goodwill gesture, but doing so in one case does not require us to do so in another.

5.5 Failed Payments, Expiry, and Cleanup

If a payment fails, a subscription expires, or billing marks a subscription as blocked, HyperHelp may downgrade, restrict, suspend, or terminate paid features.

When paid access ends, existing data may remain readable for a period, but paid-only creation and management actions may be blocked. HyperHelp may send cleanup warnings and later soft-delete or permanently delete data that exceeds the current free or starter limits, according to the product's retention and cleanup policies.

6. Acceptable Use

You agree not to:

  • use the Services for unlawful, harmful, deceptive, abusive, or fraudulent activity;
  • crawl, upload, process, or collect content that you do not have the right to use;
  • use lead-capture or exported lead data for spam or in violation of GDPR, CAN-SPAM, ePrivacy rules, or other applicable privacy and marketing laws;
  • submit passwords, payment card data, secret keys, government identifiers, health data, or other sensitive regulated data unless you have confirmed that your use case is appropriate and lawful;
  • scrape, copy, probe, overload, reverse engineer, or interfere with HyperHelp's dashboard, widget, APIs, infrastructure, or security controls;
  • bypass rate limits, plan limits, usage meters, domain allowlists, access controls, billing controls, or retention controls;
  • share accounts or misrepresent user identity, organization identity, or billing information;
  • use the Services to build, train, or operate a competing product or service;
  • remove, hide, or alter required HyperHelp attribution where your plan or configuration requires it;
  • use the Services to generate or distribute malware, phishing content, harassment, hate, illegal instructions, or other harmful content.

We may investigate suspected violations and may suspend or terminate access where needed to protect HyperHelp, customers, visitors, third parties, or the Services.

7. AI and Data Accuracy Disclaimers

7.1 Probabilistic Nature of AI

You acknowledge that HyperHelp uses AI systems and retrieval technology that are probabilistic. Outputs may be incomplete, outdated, misleading, or factually incorrect, even when they appear confident or include source links.

HyperHelp is designed to ground answers in your configured content, but we do not guarantee that AI-generated answers, summaries, recommendations, classifications, sources, or lead insights are accurate, complete, or suitable for any specific use.

7.2 Verification Required

HyperHelp is a support, research, and visitor-assistance tool, not a definitive source of truth. You are responsible for reviewing, testing, and monitoring your chatbot before and after publishing it.

You must independently verify important information before making business, legal, medical, financial, safety, employment, or compliance decisions based on HyperHelp outputs. HyperHelp is not responsible for decisions made based on AI outputs or visitor conversations.

7.3 Source and Content Limitations

HyperHelp can only answer from content it can access, extract, process, index, and retrieve. If your website content is incomplete, outdated, inaccessible, blocked, ambiguous, or incorrect, outputs may reflect those issues.

8. Intellectual Property

HyperHelp and its licensors retain all rights, title, and interest in the Services, software, website, documentation, designs, trademarks, logos, technology, and related intellectual property.

You retain ownership of Customer Content. These Terms do not transfer ownership of Customer Content to HyperHelp.

If you provide feedback, suggestions, ideas, bug reports, or feature requests, you grant HyperHelp a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.

9. Third-Party Services

The Services may depend on third-party providers for hosting, billing, payment processing, analytics, email, AI processing, search, storage, and other infrastructure. Your use of third-party websites, payment flows, embedded scripts, AI providers, or integrations may be subject to their own terms and policies.

HyperHelp is not responsible for third-party services, websites, outages, content, policies, or processing outside our reasonable control.

10. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

We do not warrant that the Services will be uninterrupted, error-free, secure, free of harmful components, compatible with every website, or able to crawl every page. We do not warrant that AI outputs, search results, source citations, analytics, leads, exports, or usage data will be accurate, complete, current, or fit for your intended purpose.

11. Limitation of Liability

To the maximum extent permitted by law, HyperHelp will not be liable for lost profits, lost revenue, loss of business opportunity, loss of goodwill, loss of data, reputational harm, indirect damages, incidental damages, consequential damages, special damages, exemplary damages, or punitive damages arising out of or related to the Services or these Terms.

To the maximum extent permitted by law, HyperHelp's total cumulative liability for all claims arising out of or related to the Services or these Terms will not exceed the amount you actually paid to HyperHelp for the Services in the twelve (12) months before the event giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless HyperHelp from and against claims, damages, liabilities, losses, costs, and expenses arising from or related to your Customer Content, your websites, your widget configuration, your lead-capture practices, your use of exported data, your violation of these Terms, or your violation of applicable law or third-party rights.

13. Suspension and Termination

We may suspend or terminate your access immediately if we reasonably suspect account sharing, abusive usage, security risk, payment failure, violation of these Terms, infringement, unlawful activity, or use that threatens the Services, customers, visitors, or third parties.

You may stop using HyperHelp at any time and may cancel your subscription from the subscription settings page where available.

Termination does not relieve you of fees already incurred. Provisions concerning Customer Content, billing, acceptable use, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and any provisions that by their nature should survive will survive termination.

14. Changes to These Terms

We may update these Terms as the Services, law, or business needs change. If we make material changes, we will take reasonable steps to notify users, such as updating this page, emailing account owners, or showing an in-app notice.

Your continued use of the Services after updated Terms become effective means you accept the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Germany, without regard to conflict-of-law rules. German courts will have authority to resolve disputes arising from or relating to these Terms, unless applicable law requires a different forum.
